Abstract

Specific provisions of the Internal Revenue Code generally determine the tax consequences of investments into partnership and corporations. These provisions may be vulnerable when unrealized receivables are transferred. The author discusses various Code sections and judicial doctrines available as sources of attack, illustrating their unexpected tax results.
