Abstract
Nonprofit organizations currently issue approximately one half billion dollars of unregistered securities each year. The author examines the distribution procedures, the efficacy of blue sky provisions for preventing unfair offers and recommends specific amendments to Arizona's securities registration exemption for eleemosynary organizations.
